Deal Finally Reached on Sovereign Holding

The SSH will become the central manager of all state capital assets as planned throughout and will be incorporated with the transformation of the existing SOD fund.

The KAD fund, whose principal task is the management of pension assets, will remain an independent entity within the framework of the holding.

All of its profits will be channelled towards the public pension fund as demanded by the DeSUS, but it will not have sold discretion on how to manage its assets, according to the agreement reached by PM Alenka Bratušek and DeSUS president Karl Erjavec on Friday.

According to a strategy to be adopted by the government within three months, KAD will act in coordination with the SSH and both will vote in accord at annual general meetings.

The strategy will include a classification of assets to strategic (state retains majority ownership), important (state retains controlling stake of 25% plus one share) and portfolio (the SDH can sell them off) assets.

However, the bill gives the SDH the power to find concessionaires even for strategic assets (mostly infrastructure companies), provided the concessions are time limited.

The SHD will also become manager of the 34.5% stake in insurer Zavarovalnica Triglav currently held by public health insurance institute ZPIZ, Finance Minister Uroš Čufer explained.

Čufer said it was not yet clear how exactly the transfer would be made, but he was confident that a solution would be found.

Today's agreement with DeSUS marks a key step in the process of centralising the management of state assets and the tweaks will be implemented as part of the parliamentary procedure.

However, several key questions remain open.

It is not yet clear whether the companies managed by the SDH will be subject to disclosures under the freedom of information act.

Employers' representatives are strongly against this solution on grounds of trade secrets, but unions have been pushing hard to increase transparency.

The unions are also unhappy that the bill does not include the establishment of a demographic fund, but the ZSSS union said today it would try to get the relevant provisions inserted into the bill with the help of parliamentary parties.
