Avoid Conflicts of Interest
AUKN underlined the need for the state's representatives in supervisory boards to be independent and without reproach in the ethical and corporate respect.
Supervisors are expected to direct all due care to any possible conflict of interest and do everything in their power to avoid it, both in their work and in cases concerning the company management.
The agency, which promises to keep a close eye on the work of supervisors, calls for the principle of proactive transparency, which reveals to decision-makers all the circumstances and connections that could lead to even a mere appearance of influencing the unbiased and objective performance of a certain body.
In cases of actual or possible conflict of interest that may affect the work of the body, supervisors are expected to asses whether they should hand over the decision to other members of the supervisory board or another relevant body.
AUKN expects supervisors to report the number of cases involving conflict of interest detected at their companies and a detailed description of major violations of the rules to avoid conflicts of interest.
